Company Information<\/h2>\n\n\n\n<p>LMP FINANCE Suisse SA (hereinafter the \u201cCompany\u201d) is an asset manager authorized under Swiss laws and regulations, in particular the Federal Act on Financial Institutions (FinIA). The Company has\u00a0been\u00a0authorized by the Swiss Financial Market Supervisory Authority FINMA (Laupenstrasse 27, 3003 Bern, Tel: +41 31 327 91 00, Fax: +41 31 327 91 01, <a href=\"mailto:info@finma.ch\" target=\"_blank\" rel=\"noreferrer noopener\">info@finma.ch<\/a>, <a href=\"https:\/\/www.finma.ch\/\" target=\"_blank\" rel=\"noreferrer noopener\">www.finma.ch<\/a>).<\/p>\n\n\n\n<p>The Company is\u00a0also\u00a0supervised by the following oversight body: AOOS \u2013 Swiss Supervisory Body SA, Via Landriani 2, 6900 Lugano, Tel: +41 91 940 40 00, email: <a href=\"mailto:infolugano@aoos.ch\" target=\"_blank\" rel=\"noreferrer noopener\">infolugano@aoos.ch<\/a><\/p>\n\n\n\n<p>The Company\u2019s&nbsp;registered office is&nbsp;located&nbsp;at Via Guglielmo Marconi 4, CH-6900 Lugano.<\/p>\n\n\n\n<p>The Company provides the following financial services:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Portfolio management<\/li>\n\n\n\n<li>Investment advisory<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">2. Ombudsman (Mediation Body)<\/h2>\n\n\n\n<p>The Company is&nbsp;affiliated with the following mediation body: OFS Ombud Finance Switzerland.<\/p>\n\n\n\n<p>In the event of a complaint, the Client must first submit&nbsp;it in writing to the Company in order to seek an amicable&nbsp;resolution. If no solution&nbsp;is&nbsp;found&nbsp;within 30 days, the Client may&nbsp;initiate&nbsp;mediation&nbsp;proceedings in accordance with the Swiss Financial Services Act (FinSA) before the mediation body to which the Company is&nbsp;affiliated.<\/p>\n\n\n\n<p>The mediation procedure is&nbsp;governed by the rules of the mediation body in force at the time of the request and may be conducted in Italian.<\/p>\n\n\n\n<p>If the parties accept the mediator\u2019s&nbsp;recommendation or reach an agreement, this must be set out in writing and becomes&nbsp;binding once signed.<\/p>\n\n\n\n<p>If the dispute is&nbsp;not&nbsp;resolved&nbsp;within 90 days, it&nbsp;will be subject to the jurisdiction&nbsp;agreed in the contract&nbsp;between the Client and the Company.<\/p>\n\n\n\n<p>The mediation procedure is low-cost or free of charge and confidential. Client Classification<\/h2>\n\n\n\n<p>For the purposes of the relationship, the Client will be classified&nbsp;according to FinSA&nbsp;as a retail, professional, or institutional client. This&nbsp;classification&nbsp;affects&nbsp;both the Client\u2019s&nbsp;rights and the Company\u2019s&nbsp;obligations.<\/p>\n\n\n\n<p>In certain&nbsp;cases, the Client may&nbsp;request a change of classification. The Company will&nbsp;explain the risks and implications of such a change.<\/p>\n\n\n\n<p>Retail clients who&nbsp;enter&nbsp;into an advisory or portfolio management agreement are considered&nbsp;qualified&nbsp;investors under the Collective Investment Schemes Act (CISA). Therefore, certain&nbsp;protections&nbsp;applicable to non-qualified&nbsp;investors do not&nbsp;apply.<\/p>\n\n\n\n<p>Clients are informed\u00a0that\u00a0this\u00a0may\u00a0allow access to investment products reserved for qualified\u00a0investors. The Client may\u00a0at\u00a0any time request in writing not to be treated\u00a0as a qualified\u00a0investor (<em>opting-out<\/em>).<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">4. Market OfferingConsidered<\/h2>\n\n\n\n<p>When&nbsp;selecting&nbsp;financial&nbsp;instruments, the Company may&nbsp;consider&nbsp;both:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Its\u00a0own products (issued, managed, or advised by the Company or closely\u00a0related\u00a0entities)<\/li>\n\n\n\n<li>Third-party financial\u00a0instruments<\/li>\n<\/ul>\n\n\n\n<p>The Client acknowledges&nbsp;that&nbsp;this&nbsp;may create potential&nbsp;conflicts of interest. The Company takes appropriate measures to ensure&nbsp;that the Client does&nbsp;not&nbsp;incur&nbsp;excessive costs as a result.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">5. Conflicts of Interest<\/h2>\n\n\n\n<p>Conflicts of interest&nbsp;may&nbsp;arise&nbsp;between the Client\u2019s&nbsp;interests and those of other clients, the Company, or related parties. The Company implements appropriate organizational&nbsp;measures to prevent or manage&nbsp;such&nbsp;conflicts. If a disadvantage&nbsp;cannot be avoided, the Client will be informed.<\/p>\n\n\n\n<p>The Company works with third parties such&nbsp;as&nbsp;custodian banks, asset managers, and financial service providers. It&nbsp;seeks to negotiate the best possible&nbsp;terms for the Client.<\/p>\n\n\n\n<p>Some third parties may&nbsp;pay&nbsp;commissions or retrocessions to the Company. However, these do not&nbsp;generally&nbsp;increase the costs charged to the Client and may help reduce management fees.<\/p>\n\n\n\n<p>The Company ensures\u00a0that investment decisions are made independently of any\u00a0such benefits.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">6. Fees and Costs<\/h2>\n\n\n\n<p>Fees and costs are fully&nbsp;defined in the agreement signed&nbsp;between the Client and the Company.<\/p>\n\n\n\n<p>The Company\u2019s&nbsp;remuneration&nbsp;does&nbsp;not include custodian bank fees, taxes, VAT, or other&nbsp;charges, which are debited&nbsp;directly from the Client\u2019s account.<\/p>\n\n\n\n<p>The Company informs the Client annually&nbsp;about&nbsp;fees and, upon&nbsp;request, at&nbsp;any time.<\/p>\n\n\n\n<p>Upon&nbsp;request, the Company also&nbsp;discloses&nbsp;any benefits received from third parties.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">7. Risks Associated with Financial Instruments<\/h2>\n\n\n\n<p>The Client confirms&nbsp;having&nbsp;read and understood the Swiss Bankers Association brochure \u201cRisks Involved in Trading Financial Instruments.\u201d<\/p>\n\n\n\n<p>All financial&nbsp;instruments involve a risk of loss, including:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Credit risk:<\/strong> the issuer may\u00a0fail to meet\u00a0its\u00a0obligations.<\/li>\n\n\n\n<li><strong>Market risk:<\/strong> prices may\u00a0fluctuate and lead to losses.<\/li>\n\n\n\n<li><strong>Currency risk:<\/strong> exchange rate fluctuations\u00a0may\u00a0affect\u00a0returns.<\/li>\n\n\n\n<li><strong>Interest rate risk:<\/strong> changes in rates may impact bond prices.<\/li>\n\n\n\n<li><strong>Liquidity risk:<\/strong> difficulty in selling investments quickly.<\/li>\n\n\n\n<li><strong>Concentration risk:<\/strong> losses due to lack of diversification.<\/li>\n\n\n\n<li><strong>Real estate risk:<\/strong> limited liquidity and valuation\u00a0uncertainty.<\/li>\n\n\n\n<li><strong>Emerging market risk:<\/strong> higher\u00a0political and economic\u00a0instability.<\/li>\n\n\n\n<li><strong>Alternative investment risk:<\/strong> higher risk, leverage, limited liquidity, and long-term commitment.<\/li>\n<\/ul>\n\n\n\n<p>Some investments may\u00a0not be publicly\u00a0offered, may\u00a0not be listed, or may\u00a0only be redeemable\u00a0at\u00a0specific times, which\u00a0may delay liquidity and lead to losses.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">8.
